Fliss has experience across a broad range of corporate and commercial matters ranging from private company mergers and acquisitions, public markets, reorganisations and company advisory, to commercial contracts, terms and conditions and franchise and outsourcing agreements, as well as membership and partnership matters.

Public Markets
• Acted for the Nomad and Broker on a £12 million secondary fundraising for a pharmaceutical company.

Private Mergers and Acquisitions
• Acted for the dispute resolution purchaser in its share purchase of a competitor, involving cash on completion and contingent deferred consideration.
• Acted for the BVI purchasing company in its purchase of a luxury motor yacht, and its ongoing chartering business and yacht management arrangements.
• Acted for the sellers in an auction sale of a financial benchmarking company to a US consultancy firm.
• Acted for the seller in its exit from a joint venture in the social enterprise voluntary sector.
• Advised on an acquisitionof multiple companies and a limited partnership,ending insolvency proceedings and arranging a refinancing.
• Acted for the purchaser in an acquisition ofa funds market technology business operating in the UK and Germany.
• Advised on a business and assets purchase of a PR company, and drafted new Articles of Association and Shareholders' Agreement.
• Acted onan asset purchase to buy an IFA business out of administration,drafted new Articles of Association andShareholders' Agreement, and managed the subsequentinvestment by a third party.

Commercial
• Advised a national charity in the outsourcing of its entire IT system, services and helpdesk facility to a third party IT provider.
• Advised an international accountancy firm in the outsourcing of various services to an Indian company.
• Arranged and negotiated a franchise arrangement for a social investment company.
• Advised an events company on its exposure to liability and drafted its terms and conditions in respect of multiple suppliers of services to it.
• Advised a power tools company on its terms and conditions, and logo, in respect of a new online warranty extension it wanted to offer.
• Advised and negotiated the termination for convenience of a people to work contract for a regional charity.
• Reviewed and advised on IT service level agreements for various businesses including a religious school and airport web site.
• Reviewed and advised on master vendor agreements and director service contracts for a regional recruitment agency.
• Drafted, reviewed and advised on non-disclosure agreements for various businesses including a financial benchmarking business, a clean power station venture and a graphic design business.

Company Advisory, Membership and Finance
• Advised a university students' union in respect of a secured facility in favour of HSBC as a consequence of a hive up of its business.
• Drafted shareholders’ agreements, articles of association and investment agreements for various clients includinga high end Italian tailoring, record publishing, care home and mentoring businesses.
• Reviewed and drafted various articles of association and partnership agreements to bring about changes including an alternation to membership structures and the moving of liability for entities such as a private hospital, national sporting body and a governing body for recruitment agencies.

Pro bono work
• Supervising Legal Adviser at South West London Law Centres
• Advising on a joint venture for a homelessness charity.
• Organising and facilitating a platform for women in the third sector in partnership with Third Sector Women.
