5 Ways to Take Advantage of the Companies Act 2006
On 1 October 2009, most of the remaining provisions of the Companies Act 2006 come into force. Make your life easier by:

1. Using a service address

Directors no longer need to file their home address on the public registerat Companies Houseand can instead use a service address. However, addresses on forms that have already been filed will remain visible.

2. Adopting plain English articles

The old Table A articles have been replaced (for new companies) by the slim line “Model Articles”. The Model Articles are designed to make it easier for companies to do business and have 53 regulations rather than Table A’s 118. Your old articles will still remain in force, but give us a call to discuss the benefits of updating.

3. Using Companies House forms with common sense names

Gone are Forms 288a, 123, 88(2) etc and in are Forms AR01 (annual return), AP01 (appointment of director) and TM01 (termination of appointment of director) etc. Although old forms will be rejected by Companies House after 1 October, you can still use them for events occurring before that date.

4. Getting rid of your authorised share capital

Give your directors the discretion to issue shares without having to increase the authorised share capital, which is being abolished altogether. To take advantage, you’ll need to pass an ordinary resolution.

5. Creating a change of name procedure

Under the old law, the only way a company could change its name was by special resolution. It is now possible to prescribe a different method in the articles of association. For example, the board of directors could be empowered to change the company’s name without the need to refer the matter to shareholders.
